ART. I - DUTIES OF OFFICERS

Section 1 - President

It shall be the duty of the President to preside at all meetings, and to perform all other duties appertaining to the office. (Amended August, 1993)

Section 2 - Vice President

In the absence of the President, the Vice-President shall perform all the duties appertaining to the office. In case of vacancy, the Vice-President shall secede at once to the office of President until the next annual meeting. The Vice-President shall appoint a member to represent the McKnight Women’s Club on the Board of Directors of the Civic Association, and she or her alternate must be members of the Civic Association and attend Board of Directors meetings of the Civic Association. Section 3 - Recording Secretary

The Recording Secretary shall keep a correct record of the proceedings of all meetings of the Club and Board of Directors. She shall have the custody of the records and all papers of the Club not otherwise provided for, which papers and records shall be open to inspection at any time in the presence of the secretary by any member of the Club desiring to read them. She shall keep a correct list of all members of the Club; shall authenticate all acts and orders of the Club, and in the absence of the President and Vice-President, shall call the meeting to order until a chairman pro tem is elected. She shall render a written report at the annual meeting. At the expiration of her term of office, the records and all papers in her possession shall be turned over to her successor. Section 4 - Corresponding Secretary

The Corresponding Secretary shall issue notices of all meetings and conduct all general correspondence as directed by the Club. She shall read all letters and have custody of same. (This does not include certified papers or resolution which must be sent out by the Recording Secretary. Note: The duties of the two officers are distinct and must in no wise conflict one with the other.)

Section 5 - The Treasurer

The Treasurer shall receive all moneys of this club and deposit same in such bank or banks as directed by the Board of Directors. She shall collect all dues and keep an accurate account of all receipts and disbursements. A detailed report shall be presented at each meeting. The Treasurer shall pay out all funds by order of the Board of Directors, signed by the Treasurer and countersigned by the President. She shall render a written report at the annual meeting. ART. II - DUTIES OF THE BOARD OF DIRECTORS

The Board of Directors shall have general supervision of all the interests of the Club; shall authorize the payment of bills, shall fill vacancies not provided for in the various offices of the Club and its own number.

ART. III - DUES

Section 1 - Dues

The dues shall be the price of the previous year, except by vote of the majority of membership to accept change. (Amended October 25, 1962)

Section 2 - Resignations

All resignations must be submitted in writing.

ART. IV - REGULAR AND SPECIAL MEETING

Section 1 - Regular Meetings

The regular meetings of the Club shall be held the fourth Thursday of each month, except June, July, August, and December unless otherwise ordered by the Board of Directors by a two-thirds vote of those present and voting.

Section 2 - Special Meetings

Special meetings of the Club may be called at the discretion of the President or by her upon the written request of three (3) members.

Section 3 - Object of Special Meetings

The principle object of special meetings shall be stated in the call for same and may include the words “and for the transaction of any other business that may be presented.” Unless these words are added no other business can be transacted, except the object stated in the call. Where a special meeting has been held, the minutes are read after the minutes of the regular meeting are read. No minutes are read at a special meeting unless it is an adjourned meeting.

Section 4 - Regular meetings of the Board of Directors

The regular meetings of the Board of Directors shall be held at such time and place as may be determined by resolution or by consent of the directors, or as designated by the call for the meeting.

Section 5 - Special meetings of the Board of Directors

Special meetings of the Board shall be called by the President at her discretion, or by her upon the written request of three (3) members.

ART. V - QUORUM

In the case of a an annual meeting for the election of directors, a regular meeting, or one that has been properly called, a quorum shall consist of those members entitled to vote who are present in person or by proxy. (Amended February 1996)

ART. VI - ROBERT’S RULES OF ORDER

Robert’s Rules of Order, Revised, shall be authority in all questions of Parliamentary Law not covered by the Constitution and By-Laws.

ART. VII - AMENDMENTS

These By-Laws may be amended at any regular meeting of the Club by a two-thirds vote of the members present and voting, provided the proposed amendment has been submitted in writing at the previous regular meeting.
